1. InvestSuisse AG – your insurance broker
InvestSuisse AG is an independent insurance broker for all branches of insurance and is registered with FINMA (Swiss Financial Market Supervisory Authority) at www.vermittlerportal.ch under the registration number 10026.
2. Object of the agreement
The Client shall commission InvestSuisse AG, in terms of a business relationship based on mutual trust, with looking after its insurance policies, by means of a separate mandate agreement. The provisions and agreements listed in this document shall form an integral part of the mandate agreement, which may only be amended or supplemented by a document signed by both parties to the agreement.
3. Services as an insurance broker
InvestSuisse AG shall be commissioned to negotiate with insurers and obtain quotations, on behalf of the Client, and, after approval by the Client, to take out and look after insurance policies.
InvestSuisse AG shall provide advice and assistance to the Client with respect to all insurance matters that form part of the mandate agreement; i.e. in particular, a risk and insurance analysis, the formulation of a risk and insurance policy, concepts for risk financing solutions, the determination of the insurance requirements, taking out and looking after insurance policies, as well as issues relating to insurance law and the support in the event of a claim to the insurers.
The information provided by the InvestSuisse AG account managers and specialists shall be based on many years of experience as qualified insurance specialists. It shall, however, be unable to replace legal, investment or tax advice by, for example, lawyers, banks, tax experts or possible authorities in a specific individual case.
4. Cooperation with insurance brokers abroad
Where this appears sensible and necessary for the performance of any tasks arising from the broker agreement outside Switzerland, InvestSuisse AG shall be authorised, after consultation with the Client, to cooperate with the international network AESIS www.aesis-network.com in other countries. Especially as InvestSuisse AG has been a member of this network for more than 10 years and represents the network in Switzerland.
5. Compensation
InvestSuisse AG shall be compensated for rendering the services in accordance with Section 3. with a standard broker’s commission, which shall be paid by the insurer. Other forms of compensation must be agreed separately in writing between the parties to the agreement. The Client explicitly confirms his/her agreement to the full payment of the standard broker’s commission by the various insurance companies to InvestSuisse AG. In return, he/she shall incur no further costs in connection with the comprehensive maintenance and processing of his/her insurance portfolio.
For further additional services which are rendered at the request of the Client, InvestSuisse AG shall agree a separate fee with the Client in advance (e.g. risk management (RM) or enterprise risk management (ERM).)
Turnover arising from activities as an insurance broker shall be exempt from VAT. (Art. 21 No. 18 of the Swiss Value Added Tax Act, MWSTG). Compensation for the services in accordance with Section 3. and Section 5. shall apply subject to a subsequent demand for VAT, in the event of any change of practice of the Swiss Federal Tax Administration.
6. Cooperation with insurers
InvestSuisse AG has cooperation agreements with most insurers licensed in Switzerland (incl. health insurance funds and registered collective foundations), but is not linked to an insurance company either by law or commercially or in any other way, in terms of Swiss insurance supervision legislation.
InvestSuisse AG shall look after the Client’s insurance policies, in agreement with the relevant insurers. In this spirit, InvestSuisse AG shall also provide services that lead to a partial reduction of the workload for the insurers.
The identification of risks and the handling and settlement of claims shall generally be managed by the relevant insurer, in agreement and consultation with InvestSuisse AG; generally and at the request of the Client, InvestSuisse AG shall support the Client with the handling and settlement of claims. Claims shall be paid exclusively to the Client. The premium shall be collected directly by the insurer.
7. Account management
At the start of the cooperation with the Client, an account manager shall be appointed to look after his/her insurance policies, who shall be at the Client’s disposal as a direct contact and undertake the entire management of his/her account. InvestSuisse AG shall be a contact point in terms of Art. 45 Section 1 d. of the Insurance Supervision Act (VAG / Liability).
8. Data protection, data security and confidentiality
InvestSuisse AG guarantees that its employees shall handle data entrusted to them in accordance with the principles of Swiss data protection law. Where a transmission of data abroad is necessary for the accurate fulfilment of the brokerage services, the Client shall agree to the transmission of his/her data abroad by InvestSuisse AG, in compliance with data protection law.
The Client shall agree to the processing of the data by InvestSuisse AG using Internet applications provided by insurers, which are conducive to the simplified administrative management of the policies.
All the Client’s data and information relating to its business activities obtained in the course of the administration of the agreement shall be treated as confidential and only processed for the purpose of exercising the mandate agreement. The IT media of this data shall be kept under lock and key at InvestSuisse AG and shall only be accessible to the employees of InvestSuisse AG. Strict secrecy shall be preserved vis-à-vis uninvolved third parties with respect to the existence of the contractual relationship. Excepted from this is the forwarding of the data to the insurers for the purpose of tendering or renewing the policies and in connection with claims.
9. Applicable law and place of jurisdiction
The awarding of the mandate shall be subject to Swiss law, in particular the provisions of Art. 394ff of the Swiss Code of Obligations relating to the agency contract. Zurich shall be agreed as the place of jurisdiction.
10. Terms and conditions
These terms and conditions form an integral part of the signed mandate agreement and any amendment hereto requires the written form and the agreement of both parties.
